Terms of Service & Risk Disclaimer

These Terms of Service and Risk Disclaimer ("Terms") govern your access to and use of the onchain vaults curated by Gami Labs ("Gami Labs," "we," "us," or "our") and made available through our decentralized application (the "dApp").

By depositing assets into any of our vaults, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not use our services or deposit any assets.

1. The Operator

Our vault curation services are provided by Gami Labs, a company operating under the laws of Panama and in compliance with local regulations concerning the management of digital assets.

2. Eligibility

Our services are available to all users globally, with the explicit exception of individuals or entities who are residents of, or located in, the United States of America ("U.S. Persons"). By using our services, you represent and warrant that you are not a U.S. Person. We reserve the right to implement measures to restrict access from prohibited jurisdictions.

3. Description of Services

Gami Labs curates and manages onchain vaults. These vaults employ various strategies and may operate under two distinct custody models:

  • •Non-Custodial Vaults: For these vaults Gami Labs does not have custody of or control over your funds. Your interactions are directly with the smart contracts.
  • •Custodial Vaults (with Fordefi): Certain vaults utilize Fordefi for custody services. In these cases, while Gami Labs manages the strategies, the underlying assets are held in custody by Fordefi.

The dApp serves as an interface to interact with these vaults. Gami Labs is a curator and manager of the strategies within the vaults, not a financial institution, broker, or investment advisor.

4. No Investment Advice

All information provided by Gami Labs, whether on our dApp, website, or other channels, is for informational purposes only. It should not be construed as financial, investment, legal, tax, or any other form of professional advice.

Gami Labs does not guarantee any returns or profits from participating in our vaults. You are solely responsible for your investment decisions and for assessing the risks associated with using our services.

5. Risk Disclosures

Your use of our vaults involves significant risk. You should carefully consider the following before depositing any assets:

  • •Market Risk: The value of digital assets is highly volatile. You may lose the entire value of your deposited assets.
  • •Smart Contract Risk: While we take measures to ensure the security of our smart contracts, they may have vulnerabilities, bugs, or errors that could be exploited, leading to a partial or total loss of your funds.
  • •Custody Risk (for Fordefi Vaults): For vaults using Fordefi, there are risks associated with third-party custody, including the risk of insolvency, technical failure, or security breaches at the custodian level.
  • •Regulatory Risk: The regulatory landscape for digital assets is evolving. Changes in laws or regulations could materially impact the value of your assets or our ability to provide our services.
  • •No Guarantee of Returns: Past performance is not indicative of future results. Gami Labs does not guarantee any specific outcome or return.

By using our services, you acknowledge and accept these and all other associated risks.

6. User Responsibilities

As a user, you are responsible for:

  • •Compliance with Local Laws: Ensuring that your use of our services complies with all applicable laws and regulations in your jurisdiction, including tax laws.
  • •Tax Reporting: Managing your own tax reporting obligations. Gami Labs will not provide any tax documentation or advice.
  • •Security: Maintaining the security of your own wallet, private keys, and any other access credentials.
  • •Seeking Professional Advice: We strongly recommend that you consult with independent legal, financial, and tax professionals before using our services.

7. Disclaimer of Warranties

Our services are provided on an "as is" and "as available" basis. Gami Labs makes no representations or warranties of any kind, express or implied, regarding the services, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or secure.

8. Limitation of Liability

To the fullest extent permitted by law, Gami Labs Panama, its affiliates, and its employees shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of our services.

9. Indemnification

You agree to indemnify and hold harmless Gami Labs and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of our services, your violation of these Terms, or your violation of any rights of another person or entity.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our dApp and updating the "Last Updated" date. Your continued use of the services after any such changes constitutes your acceptance of the new Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Panama, without regard to its conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Panama.
